RejuvRoof - Sales Terms and Conditions for Individual Use

IMPORTANT: PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PURCHASING, OPENING, OR USING REJUVROOF. YOUR PURCHASE AND USE OF THIS PRODUCT INDICATE YOUR AGREEMENT TO BE BOUND BY THESE TERMS.

This Sales Terms Sheet ("Agreement") constitutes a legally binding agreement between you ("User" or "Purchaser") and SoyLei ("Company"), the seller of SIP-1132-1 RejuvRoof.

1.      Product Information and Disclaimer

RejuvRoof is a water and oil-based coating designed to help restore flexibility and maintain existing aggregate on asphalt shingles. This product helps retain existing aggregate components but DOES NOT return or add new aggregate to your roof. While this product is intended to extend the life of your roof by restoring flexibility to shingles, it is not a replacement for a new roof, does not repair structural damage, and does not fix leaks or missing shingles. The effectiveness of RejuvRoof will vary depending on the age, condition, and type of your roof. Product may darken or change the appearance of your roof. Color and gloss variation is normal.

2.      User Responsibility and Assumption of Risk

The User assumes ALL risks and liability for loss, damage, or injury to persons or property resulting from the purchase, transport, storage, preparation, application, cleanup, disposal, use or misuse of this product. Roof work is inherently dangerous. You are solely responsible for your safety and for any damage or injury resulting from use of this product. The Company's liability is limited to the replacement of the product itself or refund of purchase price. The User agrees to indemnify, defend, and hold harmless the Company, its affiliates, and personnel from and against any and all claims, damages, losses, fines, penalties, and expenses, including attorneys' fees, arising out of or resulting from the User's purchase, handling, application, misuse, failure to follow instructions, or violation of laws or codes.

3.      Critical Safety Precautions and Warnings

Fall Protection: The User is solely responsible for implementing and using appropriate fall protection equipment and procedures that comply with all local and national safety standards. You MUST use full-body harness, anchor points, lifelines, lanyards, and non-slip footwear rated for roof work. Use stable ladders, follow all ladder safety rules, and keep a second person present to assist. Working without proper fall protection may result in serious injury or death.

Slippery Surfaces: The User must be aware that wet portions of the roof will be EXTREMELY slippery. The Product is a water-and-oil coating that creates hazardous conditions when wet. Plan your route to minimize contact with wet areas. Never step on freshly coated surfaces. Always have a safe, dry exit route planned. Maintain three points of contact when moving. Use foam pads or roof-safe walk boards if needed.

Weather Conditions: Do NOT work in high winds (over 10 mph), lightning, rain, or other unsafe conditions. Do not apply to icy, wet, or unstable roofing. Do not apply if rain is expected within 24 hours of application. Temperature must be between 40F and 90F with humidity below 80 percent.

Personal Protective Equipment (PPE): The User MUST wear appropriate PPE, including but not limited to: NIOSH-approved respirator suitable for mists and aerosols if spraying, safety glasses or goggles, chemical-resistant gloves, long sleeves and pants, and slip-resistant footwear.

Work Area Safety: Keep bystanders, children, pets, and vehicles away from the work area. Mark off ground areas prone to overspray or runoff. Post warning signs as appropriate.

4.      Proper Application and Critical Limitations

Application Requirements: The User MUST follow ALL application instructions provided on the product label and Technical Data Sheet (TDS). Applying too much product WILL damage your roof, potentially causing a soft, tacky surface that may lead to shingle deterioration, premature failure, and voided warranties. Follow coverage rates EXACTLY (typically 1 gallon per 100-150 square feet). Multiple thin coats are better than one heavy coat. Pooling or puddling indicates over-application.

Shingle Care: The User must exercise extreme caution when moving on the roof. Excessive force, rough treatment, aggressive brushing, or excessive foot traffic during application can dislodge existing aggregate, cause damage, and reduce the life of your roof. Be gentle with shingles, especially on older roofs.

Surface Suitability: Use only on surfaces expressly permitted by the product label and TDS. Perform a small test patch in an inconspicuous area first to check appearance, adhesion, compatibility, and slipperiness after cure. If your roof type or condition is not clearly permitted, do not use the product.

Product Limitations: RejuvRoof is NOT a structural repair and NOT a leak-stop emergency fix. It does not repair underlying defects, rot, failed flashing, cracks, or missing shingles. Roofs with severe wear, delamination, ponding water, or active leaks may be unsuitable. The User is responsible for ensuring their roof is in suitable condition before application.

5.      Environmental Protection and Property Damage Prevention

The User is fully responsible for:

·         Protecting all adjacent property including siding, windows, skylights, solar panels, HVAC units, painted or metal surfaces, masonry, decks, vehicles, and landscaping

·         Covering all vegetation, outdoor furniture, and equipment with plastic sheeting

·         Preventing overspray onto neighboring properties

·         Controlling and collecting all runoff - do not allow discharge to storm drains or waterways

·         Proper containment and disposal according to local environmental regulations

·         Immediate cleanup of any spills or overspray

WARNING: Product may permanently stain concrete, asphalt driveways, decking, and other surfaces. Overspray, drift, tracking, and runoff damage are your sole responsibility.

6.      Competency Requirements and Professional Recommendation

By purchasing and using this product, you represent that:

·         You are an adult homeowner or have the property owner's written consent

·         You are physically capable of safely working on a roof

·         You have experience with ladder and roof safety

·         You understand proper spray equipment operation

·         You have read and understood all product documentation including label and TDS

·         You will follow all local building codes and regulations

·         You will obtain any required permits

·         You will verify roof and ambient conditions are suitable

·         You will not over-apply or otherwise misuse the product

Professional application is strongly recommended, especially for roofs that are steeper than 6:12 pitch, over 20 feet high, have complex angles or valleys, or are in poor condition. Improper DIY application often results in damage exceeding professional application costs.

7.      Existing Warranties and Insurance

Roofing manufacturer warranties and HOA or insurance requirements may prohibit coatings. Application of this product may VOID existing shingle manufacturer warranties. You are responsible for any impact on warranties, policies, or codes. The User MUST verify with shingle manufacturer before application. Company assumes NO responsibility for voided warranties. Notify your homeowner's insurance before application.

8.      No Warranty

RejuvRoof is sold "AS IS" and "AS AVAILABLE" without any warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company warrants only that the product, at time of sale, conforms to its written specifications on the label and TDS. The Company does not warrant that the product will meet your specific requirements or that it will be suitable for your particular roof. Performance depends on factors outside Company control including roof condition, preparation, application rate, weather, tools, and user skill. You bear all risk of use.

9.      Limitation of Liability

To the fullest extent permitted by law, the Company is not liable for any indirect, incidental, special, punitive, or consequential damages (including but not limited to property damage, loss of value, decreased roof life, staining, overspray, runoff, personal injury, lost time, or cost of contractors) arising out of the use or inability to use the product, even if the Company has been advised of the possibility of such damages. The Company's total liability shall not exceed the price you paid for the product that directly gave rise to the claim.

10.  Returns

Unopened, resaleable product may be returnable subject to Company's then-current policy. Opened or partially used containers are not returnable except where required by law.

11.  Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of sale, without regard to conflicts of law rules. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Venue and jurisdiction shall be in the courts located in the state of sale, unless otherwise required by law.

12.  Important Reminders - Read Before Use

SLIP HAZARD: Do not step on wet coating. Plan a dry path and use fall protection.

DO NOT OVER-APPLY: Too much product can damage shingles and shorten roof life.

NO AGGREGATE ADDED: Product does not return granules. It helps keep what remains and may improve flexibility.

TEST FIRST: Always test in inconspicuous area to confirm acceptability.

YOU ARE RESPONSIBLE: For overspray, runoff, staining, and any property damage or injuries.

PROFESSIONAL ADVICE: Company does not inspect your roof and does not provide professional roofing, safety, or engineering advice. If unsure, hire a licensed roofing contractor.

14.  Purchase Acknowledgment

By purchasing and using RejuvRoof, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions. Keep a copy of these terms for your records.
